Terms designed for responsible messaging.
These Terms of Service form a binding agreement between the organization accepting them (“Customer”, “you”) and Technanosoft, operator of Wapp (“Wapp”, “we”, “us”).
01 Agreement and eligibility
By creating an account, accessing Wapp, or using its APIs, you confirm that you are at least 18, have authority to bind the Customer, and accept these Terms and our Privacy Policy. If you do not agree, do not use the service.
02 The service
Wapp provides a business portal and APIs for connecting authorized WhatsApp Business assets, managing phone numbers and templates, sending requested communications, receiving platform events, and reviewing usage. Features may change as we improve Wapp or respond to law, security, or third-party platform changes.
Service levels, support commitments, custom data terms, or commercial terms apply only when stated in a separate written agreement signed by both parties.
03 Accounts and security
- Provide accurate information and keep it current.
- Authorize only users who need workspace access and promptly remove access that is no longer required.
- Protect passwords, API secrets, webhook secrets, Meta credentials, and two-step verification PINs.
- Notify us promptly of suspected unauthorized access or credential exposure.
- Remain responsible for activity performed through your workspace and integrations.
04 Customer data and instructions
You retain rights in content and data you submit. You grant Wapp the limited rights needed to host, process, transmit, and secure that data and to provide the service. You represent that you have all permissions, notices, lawful bases, and consents required to process recipient data and send each communication.
You are responsible for message content, templates, recipient lists, opt-in and opt-out handling, retention requirements, and responses to individuals. Wapp may process customer data according to your documented use of the service and as needed for security and legal compliance.
05 Acceptable use
You must not use Wapp to:
- Send spam, unlawful marketing, deceptive, threatening, discriminatory, exploitative, or otherwise prohibited content.
- Message recipients without required authorization or ignore opt-out requests.
- Violate law, sanctions, export controls, intellectual-property rights, privacy rights, Meta Platform Terms, WhatsApp Business Terms, or WhatsApp messaging policies.
- Probe, disrupt, overload, bypass limits, reverse engineer, introduce malware, or access another customer’s data.
- Sell, disclose, embed, or expose credentials, or permit unauthorized third parties to use the service.
We may investigate suspected abuse and suspend affected access where reasonably necessary to protect users, Wapp, Meta, or the public.
06 Plans, usage, and payment
Paid plans, usage charges, taxes, renewal terms, and limits are shown at purchase or in an applicable order. Meta or WhatsApp conversation and messaging charges may be separate from Wapp fees. Unless required by law or stated otherwise in writing, fees already incurred are non-refundable.
07 Meta, WhatsApp, and third-party services
Wapp interoperates with services we do not control, including Meta and WhatsApp. Your authorization creates a direct relationship with those services under their terms. Their availability, approvals, pricing, policies, and API behavior may change, and Wapp is not responsible for third-party suspension, rejection, outage, or modification.
You must maintain an eligible Meta business, an approved app or authorized asset relationship, compliant templates, and any required business verification.
08 Intellectual property and feedback
Wapp, its software, design, documentation, trademarks, and related rights belong to Technanosoft or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes. Feedback may be used without restriction or obligation, provided we do not identify you publicly without permission.
09 Disclaimers
To the maximum extent permitted by law, Wapp is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee Meta approval, message delivery, recipient engagement, or a particular business result.
10 Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Wapp’s aggregate liability arising from the service will not exceed the fees paid by Customer to Wapp during the six months preceding the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.
11 Responsibility for claims
Customer will defend and indemnify Technanosoft against third-party claims, damages, and reasonable costs arising from Customer data, message content, recipients, unlawful or unauthorized use, or violation of these Terms, law, or third-party platform rules.
12 Suspension and termination
You may stop using Wapp at any time and may request account deletion. We may suspend or terminate access for material breach, non-payment, legal or security risk, third-party platform restrictions, or service discontinuation. Where practicable, we will give notice and an opportunity to cure. Provisions that logically survive termination—including payment, intellectual property, disclaimers, liability, and dispute terms—remain effective.
13 General
These Terms and referenced policies are the entire agreement for standard use of Wapp and supersede prior discussions on that subject. You may not assign them without our consent; we may assign them in connection with a reorganization or transfer of the service. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver.
These Terms are governed by the laws of India, without regard to conflict-of-law principles, and disputes will be submitted to courts of competent jurisdiction in India, unless applicable law requires otherwise.
